Code of Business Conduct
AMCHAM Myanmar is a non-partisan, non-profit business organization. We advocate the principles of free trade, open markets, private enterprise, the unrestricted flow of information, and ethical business practices.
It is fundamental to our philosophy that good ethics and good business are synonymous. We believe that American business plays an important role as a catalyst for positive social change by promoting human welfare and the principles of free enterprise. AMCHAM recognizes that American companies already set the highest standards for ethical business practices.
We encourage members to communicate information about their existing programs and practices relative to good corporate citizenship in the markets in which they operate.
Board of Governor Meetings and the Annual General Meeting
In 2021, the Board of Governors met eight (8) times, including the Fifth Annual Annual General Meeting (AGM) held on January 28, 2021. The board is required to meet once per quarter according to the bylaws of the organization. There is no limit to the maximum number of board meetings in one year.
On September 29, 2022 the Board of Governors convened a General Meeting for the membership to communicate changes to the bylaws that will impact invoice dates for the upcoming year to the membership. Membership in AMCHAM Myanmar is not materially changed. At this GM, there were no resolutions presented and no members submitted proposed changes to the constitution. The Treasurer also presented a the "mini budget" year audit from March'21 - Oct'22 to account for the changes to the Myanmar Financial Year and the new AMCHAM Financial Year, which is now aligned with the Myanmar Financial Year.
The AGM is open to all members of AMCHAM Myanmar, observers from the U.S. Embassy, our externally engaged accountants and elected auditor, who is approved by the membership each year. This year Yangon Professional Ltd. (YP) was elected by the membership to complete the FY 2022-2023 audit.
Only corporate members whose dues have been paid for the upcoming year can vote at the AGM. Associate members of AMCHAM are not entitled to vote for new members of the Board of Governors, however, they are entitled to attend the AGM and any General Meetings that are announced during the year. We welcome all members to our Annual General Meeting.
Our AGM, one of the biggest events of the year, is a special event marked by the end of the AMCHAM year, a celebration of the outgoing board, a recognition of our accomplishments during the year, and a special welcoming of the incoming board. The AGM is the formal business meeting for the membership of AMCHAM Myanmar and a festive celebratory event that normally follows the business meeting is attended by the U.S. Ambassador to Myanmar or the Embassy's Chief of Mission.

AMCHAM Myanmar members, staff, and Governors are subject to certain policies concerning anti-corruption, procurement, behavior (code of conduct), and antitrust.
